TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using Floor Nexus, Inc.’s website, mobile apps (Apple, Android) and related services (collectively, the “Service”), including the Quick Epoxy Quote™ platform, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

You may be required to create an account. You must provide accurate and complete information.

You are responsible for safeguarding your credentials and all activities that occur under your account.

Notify us immediately of any unauthorized use.

4. Description of Service & Beta Status

Floor Nexus® provides flooring-industry tools, including Quick Epoxy Quote™, a Floor Nexus® platform product.

We are currently in free beta testing. We reserve the right to introduce fees when we go live on Apple and Android; we will notify you in advance.

5. Fees, Billing & Payment

- Beta is Free: During beta, no fees are charged.

- Future Charges: If we add paid features or subscription plans, those charges and billing practices will be posted here with at least 30 days’ notice.

6. Intellectual Property

- All content, software, trademarks (including “Floor Nexus,” “FN logo,” and “Quick Epoxy Quote™”), copyrights, patents and trade secrets remain the sole property of Floor Nexus, LLC.

- Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

7. User-Generated Content

By uploading data or other materials to the Service, you grant Floor Nexus, LLC. a worldwide, royalty-free, perpetual license to use, reproduce, modify and display such content to provide the Service.

8. Prohibited Conduct

You agree not to:

- Reverse-engineer, decompile or disassemble the Service;

- Use the Service to violate any law or third-party rights;

- Transmit malware, spam or other harmful code; Impersonate any person or entity, or falsely state your affiliation;

- Circumvent any security feature or usage limit.

9. Confidentiality & Trade Secrets

Non-public features, materials, data and technology underlying the Service constitute trade secrets of Floor Nexus, Inc. You agree to maintain confidentiality and not disclose or misuse any such information.

10. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use and protect personal information. See privacy policy for details.

11. Disclaimers & Warranties

-As-Is: The Service is provided “as is” and “as available,” without warranties of any kind.

-No Guarantee of Results: Quick Epoxy Quote™ and other tools are estimates only; actual results may vary.

12. Limitation of Liability

To the fullest extent permitted by law, Floor Nexus, LLC's total liability for all claims under these Terms is limited to the greater of (a) fees paid by you in the 12 months preceding the claim or (b) $100. In no event will Floor Nexus, LLC. be liable for any indirect, incidental, special or consequential damages.

13. Indemnification

You agree to indemnify and hold harmless Floor Nexus, LLC. and its officers, directors and employees from any third-party claims arising out of your use of the Service or violation of these Terms.

14. Termination & Suspension

We may suspend or terminate your access for any reason, including breach of these Terms. Upon termination, your license ends and we may delete your data in accordance with our data retention policies.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida (without regard to conflict-of-law rules). Any dispute must be brought in the federal or state courts located in Florida.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We’ll notify you by email or in-app notice at least 30 days before changes take effect. Continued use constitutes acceptance of the updated Terms.

17. Miscellaneous

-Severability: If any provision is invalid, the remainder stays in effect.

-Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Floor Nexus, LLC.

-No Waiver: Our failure to enforce any right is not a waiver.
